A public client operates under records retention, public-records, open-meeting, procurement, litigation-hold, cybersecurity, and audit requirements that differ by jurisdiction and matter. Those duties coexist with attorney-client privilege, work-product protection, professional confidentiality, and court obligations. Do not promise that every communication or invoice will remain confidential. Identify the authority and process that determines treatment. Review data location, approved systems, encryption, access control, incident reporting, subcontractors, e-discovery, file transfer, records schedules, return or destruction, and ownership of matter files. Confirm how detailed billing narratives are protected or redacted and who decides. A public-facing advice program may also require intake, identity verification, language access, accessibility, supervision, and safe separation of participant information from contract reporting. Reconcile professional liability, cyber coverage, general liability, workers' compensation, indemnity, defense, limitation of liability, and insurance-tail requirements with the described work. Ask the broker and qualified counsel to review material terms. A proposal narrative cannot cure an uninsurable or ethically impermissible engagement.
Build a Matter-Acceptance Record Before the Proposal
